By creating an account, accessing, or using the Dynamoi platform ('Platform'), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you are using the Platform on behalf of an entity (like a record label or artist management company), you represent that you have the authority to bind that entity to these Terms.
Dynamoi provides a music marketing automation platform that integrates with ad networks including Meta (Facebook, Instagram), Google Ads (including YouTube), TikTok, and Snapchat. We offer features like AI-assisted ad copy and media generation (optional), usage-based billing via Stripe, multi-admin access for artist profile management, and analytics reporting. We may also offer music distribution services, governed by separate terms.
You must register for an account to access most features. You agree to provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. If you invite other users (administrators) to manage an artist profile, you are responsible for their actions within the platform and ensuring they comply with these Terms.
Dynamoi uses Stripe for payment processing and usage-based billing, primarily related to ad spend managed through the Platform. You must provide a valid payment method. Billing occurs when your accrued usage (ad spend plus any applicable platform fees) reaches a set threshold (e.g., starting at $10) or at the end of your monthly billing cycle, whichever comes first. Billing thresholds may increase based on your payment history and usage patterns. You are responsible for all charges incurred under your account, including ad spend and any applicable taxes. Failure to pay may result in suspension or termination of your account and campaigns. All fees are non-refundable unless otherwise stated or required by law.
The Dynamoi Platform, including its software, design, text, graphics, logos, and underlying technology (including any AI models used for generation features), are the exclusive property of Dynamoi and its licensors, protected by intellectual property laws. You retain ownership of all music, ad copy, media assets, and other content you provide ('User Content'). By using the Platform, you grant Dynamoi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Platform services to you. If you utilize Dynamoi's AI generation features, you are granted a limited, non-exclusive license to use the generated assets ('AI Assets') solely within the Dynamoi platform for your campaigns conducted through the Platform. You may not use AI Assets outside the Platform without explicit permission. Dynamoi makes no warranties regarding the originality or effectiveness of AI Assets.
You agree to use Dynamoi only for lawful purposes and in compliance with these Terms and all applicable platform policies (e.g., Meta, Google). You will not use the platform to engage in fraudulent activities (including fake streams or engagement), infringe on others' rights, upload malicious content, or violate any laws. You are responsible for ensuring your User Content does not infringe third-party rights. You are also responsible for maintaining valid connections to third-party platforms (e.g., Meta, Spotify, YouTube) required for Dynamoi's features to operate. Failure to maintain connections or required permissions may result in service interruptions or limitations.
Dynamoi collects and processes data related to your use of the Platform and the performance of your campaigns, as detailed in our Privacy Policy. We may use analytics tools like Google Analytics and PostHog to track usage patterns and improve the platform. By using our services, you consent to this data collection and processing. You agree not to misuse or attempt to access data you are not authorized to view.
Dynamoi integrates with various third-party APIs and services, including but not limited to Meta APIs (Facebook, Instagram), Google APIs (YouTube Data API, Google Ads API), Spotify API, Stripe API, and Resend API. Your use of these connected services is subject to their respective terms and policies. Dynamoi is not responsible for the availability, accuracy, or functioning of these third-party services, nor for any issues arising from your use of them.
Dynamoi may offer features utilizing artificial intelligence (AI) to generate ad copy or media assets ('AI Assets'). Use of these features is optional. While we strive for high-quality outputs, AI-generated content is provided 'as-is' without warranties of effectiveness or originality. You are responsible for reviewing and approving any AI-generated content before use in your campaigns. Dynamoi is not liable for any issues, claims, or damages arising from the use of AI-generated assets.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Dynamoi does not guarantee that the service will be uninterrupted, error-free, secure, or free from harmful components. Your use of Dynamoi is at your sole risk.
To the fullest extent permitted by applicable law, Dynamoi and its affiliates, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or your inability to access or use, the Platform or any content or services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Dynamoi has been informed of the possibility of such damage.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes (e.g., via email or platform notification). By continuing to use the Platform after changes become effective, you agree to be bound by the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively through binding arbitration in Sioux Falls, South Dakota, according to the rules of the American Arbitration Association, except for requests for injunctive relief.
